All services are subject to availability and confirmation.

Quotations & Pricing

  • All quotations are provided based on available information.
  • Prices may vary if additional work is required.
  • Any extra work will be communicated before proceeding.
  • Emergency call-out services may include additional charges.

Booking & Appointments

  • Customers must provide accurate contact and property information.
  • Appointment times are estimates and may vary due to operational factors or emergencies.
  • We reserve the right to reschedule where necessary.

Payments

  • Payment terms will be agreed prior to service delivery.
  • Payments must be made within the agreed invoice period.
  • Late payments may result in service suspension or additional fees.

Customer Responsibilities

Customers agree to:

  • Provide safe access to the property.
  • Ensure working conditions comply with safety standards.
  • Inform us of any known risks or hazards.

Liability

  • We aim to provide services with reasonable care and skill.
  • We shall not be liable for indirect or consequential losses.
  • Liability is limited to the value of the service provided unless required by law.

Cancellations

  • Cancellation must be made prior to scheduled service.
  • Late cancellations may incur charges.

Client Ts & C's

IMPORTANT: The Customer’s attention is particularly drawn to clause 13 (Limitation of Liability).

1. DEFINITIONS AND INTERPRETATION

In these Conditions: Business Day means a day other than a Saturday, Sunday or public holiday in England.

Contract means the agreement between TOSMC UK Ltd and the Customer.

Customer means the person or organisation purchasing Goods and/or Services.

Goods means any equipment, parts or materials supplied.

Services means facilities management, maintenance, repair, compliance, inspection and related  services.

Supplier means TOSMC UK Ltd registered in England and Wales.

2. BASIS OF CONTRACT

2.1 A quotation constitutes an invitation to treat and is valid for 30 days unless otherwise stated.

2.2 The Contract is formed when:

(a) the Customer accepts a quotation.

(b) a purchase order is issued; or

(c) the Supplier commences Services following the Customer’s instruction (verbal or written),

including reactive or emergency works.

2.3 A request for reactive or emergency attendance constitutes acceptance of these Conditions.

2.4 These Conditions apply to the exclusion of any other terms.

2.5 These Conditions constitute the entire agreement between the parties.

3. SERVICES

3.1 Services may include reactive call-outs, planned maintenance, inspections and remedial works.

3.2 Attendance times are targets unless expressly agreed as SLAs.

3.3 The Supplier may suspend works where health and safety is compromised.

3.4 Variations or additional works identified on site shall be chargeable. Urgent safety works may

proceed without prior written approval.

4. ACCESS AND SITE CONDITIONS

4.1 The Customer shall provide safe access.

4.2 Delays due to lack of access or unsafe conditions shall be chargeable.

5. GOODS

5.1 Goods shall conform materially with agreed specifications.

5.2 Title remains with the Supplier until paid in full.

6. QUALITY AND WARRANTY

6.1 Services shall be performed with reasonable care and skill.

6.2 No warranty is given for temporary or make-safe repairs or pre-existing defects.

6.3 Claims and disputes must be notified in writing within 14 days.

7. CUSTOMER OBLIGATIONS

7.1 The Customer shall provide accurate information and comply with statutory duties.

7.2 The Customer warrants asbestos and hazardous material information is accurate and up to date.

7.3 The Customer indemnifies the Supplier against loss arising from inaccurate asbestos information.

8. CHARGES AND PAYMENT

8.1 Prices exclude VAT.

8.2 Invoices are payable within 30 days.

8.3 The Supplier may invoice upon completion, monthly, or immediately after reactive attendance.

8.4 Late payment accrues interest at 8% above Bank of England base rate.

8.5 The Supplier may suspend Services for overdue sums.


9. COMPLIANCE AND ACCREDITATION

9.1 The Supplier is SafeContractor accredited and maintains appropriate policies and insurances.

9.2 The Supplier holds public liability and employers’ liability insurance. Evidence available upon request.

10. INTELLECTUAL PROPERTY

IP in documentation remains with the Supplier until paid.

11. DATA PROTECTION

Both parties shall comply with UK GDPR and Data Protection Act 2018

12. CONFIDENTIALITY

Commercial and site information shall remain confidential.

13. LIMITATION OF LIABILITY

13.1 Nothing limits liability for death, personal injury or fraud.

13.2 The Supplier’s total liability shall not exceed the total fees paid in the 12 months preceding the claim.

13.3 The Supplier shall not be liable for loss of profit, business interruption or indirect loss.

14. TERMINATION

Either party may terminate for material breach or insolvency. The Supplier may suspend services for non-payment.

15. FORCE MAJEURE

Neither party shall be liable for events beyond reasonable control.

16. GOVERNING LAW

The Contract is governed by the law of England and Wales.

Contractor Ts & C's

IMPORTANT: The Contractor’s attention is particularly drawn to clause 9 (Limitation of Liability) and clause 8 (Payment Terms). 

  1. DEFINITIONS AND INTERPRETATION

In these Conditions: 

  • Business Day means a day other than a Saturday, Sunday or public holiday in England. 
  • Contractor means the individual or organisation engaged by TOSMC UK Ltd to perform Services. 
  • Services means facilities management, maintenance, repair, compliance, inspection, and related services. 
  • Supplier means TOSMC UK Ltd, registered in England and Wales. 
  1. BASIS OF CONTRACT

2.1 A job instruction constitutes an offer to perform Services under these Terms. 
2.2 The Contract is formed when the Contractor accepts the job instruction, either verbally or in writing. 
2.3 These Terms apply exclusively to the Contract and supersede any other terms proposed by the Contractor. 

  1. SERVICES

3.1 Services may include reactive call-outs, planned maintenance, inspections, and remedial works. 
3.2 Attendance times are targets unless expressly agreed in writing. 
3.3 TOSMC UK Ltd may suspend Services if health and safety is compromised.

  1. ACCESS AND SITE CONDITIONS

4.1 The Contractor shall comply with all site rules and ensure safe access and working conditions. 
4.2 Delays caused by restricted access, unsafe conditions, or non-compliance may affect payment. 

  1. QUALITY OF WORK

5.1 Services must be performed to a professional standard with reasonable care and skill. 
5.2 TOSMC UK Ltd reserves the right to withhold payment if work is deemed unsatisfactory or incomplete. 

  1. COMMUNICATION

6.1 All communications regarding the Contract, payments, or services must be directed solely to TOSMC UK Ltd employees. 
6.2 Contractors must not contact clients, property owners, landlords, or any third party regarding payments or project matters. 
6.3 Should contractors contact clients we reserve the right to withhold payment. 

  1. PAYMENT TERMS

7.1 Invoices are normally payable within 30 days of receipt. 
7.2 On occasion, payment may be delayed if TOSMC UK Ltd has not yet received funds from its clients. TOSMC UK Ltd will communicate any expected delays promptly. 
7.3 TOSMC UK Ltd reserves the right to withhold payment for unsatisfactory work or breach of these Terms. 

7.4 We do not accept or take any responsibility for late payment charges and reserve the right to withhold payment until this is received in full from our client. 

  1. INSURANCE AND COMPLIANCE

8.1 Contractors are responsible for maintaining appropriate insurance and compliance with statutory obligations.  

  1. LIMITATION OF LIABILITY

9.1 Nothing in these Terms limits liability for death, personal injury, or fraud. 
9.2 TOSMC UK Ltd’s total liability shall not exceed the total fees paid under the Contract. 
9.3 TOSMC UK Ltd shall not be liable for indirect losses, loss of profit, or business interruption. 

  1. CONFIDENTIALITY

All information relating to TOSMC UK Ltd, its clients, and projects must be treated as confidential. 

  1. TERMINATION

11.1 TOSMC UK Ltd may terminate or suspend Services for non-compliance with these Terms, unsatisfactory work, or non-payment issues. 
11.2 Contractors may terminate only for material breach by TOSMC UK Ltd. 

  1. FORCE MAJEURE

Neither party shall be liable for events beyond their reasonable control. 

  1. GOVERNING LAW

This Contract is governed by the law of England and Wales.
